Role Overview
Broadleaf is seeking an experienced, commercially minded legal professional to join the Group as Head Legal, Conveyancing and Company Secretary.
The role combines leadership of the Group’s legal function with conveyancing support and day-to-day company secretarial duties to ensure compliance, good governance, and effective board support across the Group.
Key Responsibilities
Group legal leadership
1. Lead and oversee Group legal advisory support across operating entities
2. Advise on contracting matters including drafting, review, and negotiation
3. Lead legal risk assessment and ensure appropriate contract risk allocation
4. Coordinate external counsel where required and manage legal spend effectively
5. Ensure legal advice is practical, timely, and aligned with commercial priorities
Conveyancing / property transactions
1. Review, draft and manage conveyancing documentation for land, leases, transfers and related property transactions (as applicable)
2. Coordinate transaction timelines, due diligence inputs, and documentation flow
3. Ensure property-related documentation is legally sound and appropriately risk-managed
4. Liaise with relevant stakeholders (e.g., counterparties, surveyors, registry/registration stakeholders, external advocates) to progress matters to completion
Company secretarial, board and statutory compliance
1. Ensure the Group’s companies comply with the Zambian Companies Act and related statutory requirements
2. Maintain statutory registers, minutes, resolutions, and records in line with requirements
3. Support board and committee processes (agendas, minutes, resolutions, action tracking)
4. Oversee required filings and administrative compliance with relevant registries/authorities
5. Ensure corporate governance frameworks and internal policies are implemented and maintained
Litigation and dispute management
1. Manage litigation matters, including liaising with external advocates and coordinating case strategy
2. Review key dispute documentation and support settlement strategy where appropriate
3. Ensure timely reporting on litigation status and risk exposure to leadership
Governance, policies and compliance support
1. Develop, maintain and update Group governance frameworks, templates, and policies
2. Support corporate risk management from a legal and governance perspective
3. Assist in strengthening compliance controls and ensuring issues are addressed promptly
4. Promote accountability and good decision-making at senior levels
Regulatory and stakeholder engagement
1. Liaise with regulators/authorities where applicable and support responses to information requests
2. Coordinate with auditors, external counsel, and other professional service providers
3. Support investigations or compliance reviews (as required)
Team leadership and cross-functional collaboration
1. Lead and, where applicable, supervise legal/secretarial support resources within the Group
2. Build strong working relationships with Finance, Operations, HR, Procurement and business units
3. Provide clear guidance to non-legal stakeholders
Qualifications and Requirements (Mandatory)
1. Admitted to the Bar for a minimum of 5 years
2. Demonstrable post-admission experience
Litigation experience(post-admission)
1. Evidence of managing disputes and/or litigation matters (in-house and/or in practice)
Conveyancing experience (post-admission)
1. Substantial experience reviewing, drafting, and/or managing property-related legal documentation and transactions
Professional qualifications
1. LLB (or equivalent) and admission to the Bar (as above)
2. At least 5 years post-admission legal practice (mandatory)
Company secretarial and governance competence
1. Demonstrable experience supporting governance processes, Board/committee matters, and statutory compliance
Strong communication and stakeholder management
1. Ability to explain legal and governance matters clearly to executives and directors
Integrity, confidentiality, and attention to detail particularly in Board governance documentation and statutory record-keeping
